Swift POS Terms & Conditions

These Terms apply specifically to Swift POS customers.

1. Definitions

For these Swift POS Terms & Conditions: - **Swift Axis** means Swift Axis Limited and its authorized affiliates operating the Swift Axis platform. - **Swift POS** means the Swift Axis point-of-sale product and related services. - **Customer** means the organization registering for and using Swift POS. - **Organization** means the Customer's business entity identified during onboarding. - **Authorized User** means a person the Customer permits to access Swift POS (including administrators, supervisors, cashiers, and storekeepers). - **Subscription** means the Customer's selected Swift POS plan and commercial entitlements. - **Branch** means a business location configured in Swift POS within plan limits. - **Device** means an authorized device used to access Swift POS. - **Transaction** means a sale, refund, void, discount, or related operational record in Swift POS. - **Services** means Swift POS software, hosting, configuration, and related platform services provided by Swift Axis. These Terms apply specifically to Swift POS customers and do not govern Chama Circle or SwiftVerify unless separately accepted.

2. Subscription and licensing

Access to Swift POS is provided under the Customer's selected Subscription plan. The plan may include setup or implementation fees, recurring subscription charges, applicable taxes, and plan limits for users, devices, and branches as configured in the Pricing Engine and subscription records. Upgrades, downgrades, renewals, and pricing changes are applied according to the Customer's commercial configuration and invoices. The selected plan shown during onboarding and on invoices is authoritative for commercial amounts.

3. Payment

Swift POS may support payment methods configured by Swift Axis for the Customer's product and country, which may include M-Pesa STK Push, manual M-Pesa payment, bank transfer, and other configured methods. Payment instructions displayed on invoices and payment screens are authoritative. PayBill numbers, Till numbers, bank accounts, and similar payment details are not fixed in these Terms and may change through payment configuration.

4. Taxes

Applicable taxes may be charged according to applicable law and Swift Axis configured tax rules. Invoices show applicable tax amounts. The Customer is responsible for reviewing invoice information. Tax rates are configuration-driven and are not fixed by these Terms.

5. POS transactions

Swift POS may record sales, receipts, refunds, voids, discounts, corrections, transaction history, audit records, and cashier activities. Authorized Users are responsible for Transactions performed using their accounts. The Customer is responsible for supervising Authorized Users and reviewing operational records.

6. User management

The Customer controls administrators, supervisors, cashiers, storekeepers, and other roles as enabled by the Subscription. The Customer must protect credentials, OTPs, and security controls; deactivate users when access is no longer required; and manage access responsibly.

7. Inventory

Where inventory features are enabled, the Customer is responsible for product records, stock quantities, receiving, issuing, adjustments, spoilage, transfers, and supplier-related operational data. Swift POS provides tools; the Customer remains responsible for accurate operational data.

8. Branches and devices

Branch and device capacity follows the Customer's Subscription configuration. Additional branches or devices may require plan upgrades. Actual limits come from subscription configuration and are not fixed in these Terms.

9. M-Pesa and third-party payment services

Swift POS may integrate with third-party payment services. Those providers remain responsible for their own networks, processing infrastructure, availability, transaction processing, and interruptions. Unless expressly stated in a separate agreement, Swift Axis is not the Customer's payment provider for third-party rails.

10. Customer responsibilities

The Customer must provide accurate registration information; protect credentials; manage Authorized Users; maintain compatible devices and required connectivity; configure products, prices, and taxes correctly; maintain accurate inventory and transaction information; and comply with applicable laws and regulations.

11. Data and privacy

Swift POS may process organization information, users, transactions, inventory, configuration, reports, and audit information. Customer data handling is subject to the applicable Swift Axis Privacy Policy and data protection framework. These Terms do not replace the Privacy Policy.

12. Security

The Customer must keep credentials confidential, protect OTPs, monitor for unauthorized access, and promptly address suspicious activity or security incidents affecting Customer accounts.

13. Service availability

Swift Axis aims to provide reliable Services, subject to scheduled maintenance, emergency maintenance, infrastructure outages, third-party outages, and network failures. These Terms do not create a specific service-level commitment unless separately agreed in writing for the Customer's Subscription.

14. Support

Support availability and channels depend on the Customer's Subscription and service agreement. These Terms do not promise 24/7 support unless that entitlement is configured for the Customer.

15. Software and intellectual property

Swift POS software, Swift Axis trademarks, and platform components remain the property of Swift Axis or its licensors. The Customer receives a limited, non-exclusive right to use Swift POS under the Subscription. Customer-provided content and Customer operational data remain subject to the Customer's rights and applicable privacy terms; Swift Axis does not claim ownership of Customer-owned business data merely by hosting it.

16. Prohibited use

The Customer must not use Swift POS unlawfully; attempt unauthorized access; bypass security; reverse engineer the Services where prohibited by law; abuse the platform; or engage in fraudulent or malicious activity.

17. Suspension

Swift Axis may suspend access for non-payment, security risks, material breach, unlawful use, or abuse of the Services. Suspension may be temporary pending remediation or lead to termination under these Terms.

18. Termination

Either party may terminate according to the commercial arrangement and applicable notice requirements. Outstanding balances remain payable. After termination, access ends and Customer data is handled according to the applicable Privacy Policy and retention configuration.

19. Refunds

Refunds, if any, follow the Customer's commercial/subscription arrangement and invoices. These Terms do not create an automatic refund entitlement.

20. Third-party services

Swift POS may rely on third-party services including payment processors, SMS, email, hosting, APIs, and other integrations. Those services are subject to their own terms and availability.

21. Limitation of liabilityLegal review required

To the extent permitted by applicable law, Swift Axis's liability arising from Swift POS is limited as set out in the Customer's commercial agreement and applicable platform policies. **LEGAL_REVIEW:** liability wording should be confirmed by legal counsel before production contractual reliance.

22. Governing lawLegal review required

These Terms are governed by the laws applicable to Swift Axis's standard customer agreements for the territory in which the Services are offered, unless a signed commercial agreement specifies otherwise. **LEGAL_REVIEW:** governing-law clause should be confirmed against approved Swift Axis legal standards.

23. Acceptance

By accepting these Terms during onboarding or first use, the Customer agrees to the active Swift POS Terms version presented at acceptance. Acceptance is recorded with product, version, timestamp, and related audit metadata.
